Role Overview

We are looking for a Company Secretary to manage statutory compliance, corporate governance, and secretarial functions for VerbaFlo.ai. The ideal candidate will have cleared the CS examination and bring 3–4 years of experience ensuring the company adheres to all regulatory and legal requirements while supporting the board and leadership team with governance best practices.

Responsibilities

  • Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws.
  • Convene and manage Board Meetings, Committee Meetings, and the Annual General Meeting (AGM), including preparation of agendas, notices, and minutes.
  • Maintain statutory registers, records, and filings with the Registrar of Companies (RoC) and MCA.
  • Draft resolutions, notices, and other secretarial documents.
  • Liaise with regulatory bodies such as MCA, RoC, SEBI, and other statutory authorities.
  • Advise the board and senior management on corporate governance matters and regulatory changes.
  • Handle share transfers, allotments, and maintenance of shareholder records.
  • Ensure timely filing of annual returns, financial statements, and other statutory documents.
  • Support fundraising, ESOP administration, and due diligence processes as required.
  • Coordinate with auditors, legal counsel, and other external advisors.
  • Stay updated on changes in corporate law and ensure the organization’s practices remain compliant.

Requirements

  • Must have cleared the CS (Company Secretary) examination conducted by ICSI; ICSI membership preferred.
  • 3-4 years of relevant experience in a company secretarial or corporate compliance role, preferably in a startup or fast-growing tech company.
  • Strong knowledge of the Companies Act, SEBI regulations, and other corporate laws.
  • Experience handling board meetings, statutory filings, and RoC compliance.
  • Familiarity with ESOP schemes and cap table management is a plus.
  • Excellent drafting and documentation skills.
  • Strong attention to detail and organizational skills.
  • Good communication and interpersonal skills to work with founders, board members, and external stakeholders.
  • Ability to work independently in a fast-paced startup environment.
